# Terms & Conditions

## 1. Agreement to Terms
By engaging Goodman Digital Studio (“Studio,” “we,” “us,” or “our”) for web design services, you (“Client”) agree to be bound by these Terms and Conditions. Please read them carefully before proceeding with any project.

## 2. Services
Goodman Digital Studio provides custom WordPress website design, site redesigns, and monthly maintenance services. The specific scope of work for each project will be outlined in a separate project proposal or agreement provided prior to commencement.

## 3. Project Process
### 3.1 Discovery
All projects begin with a discovery conversation to understand your business, goals, and vision. Clients are expected to provide timely feedback, content, images, and any other materials required to complete the project.
### 3.2 Design & Revisions
Each project includes **one (1) round of revisions** after the initial design draft is delivered. Additional revision rounds are billed at **$65.00 per hour**, in 30-minute increments.
### 3.3 Client Responsibilities
Clients are responsible for:
– Providing accurate and complete content, images, and branding materials in a timely manner
– Reviewing and approving design drafts within agreed-upon timeframes
– Providing clear, consolidated feedback during revision rounds
– Ensuring all content provided is legally owned or licensed by the client
Delays caused by the client may result in rescheduling or additional fees.

## 4. Payment Terms
### 4.1 Project Deposits
A non-refundable deposit of **50% of the total project fee** is required before work begins. The remaining balance is due upon project completion and prior to site launch.
### 4.2 Monthly Maintenance
Monthly maintenance services are billed at the beginning of each month. Failure to pay within 15 days may result in suspension of maintenance services.
### 4.3 Additional Work
Any work requested beyond the original project scope will be billed at **$65.00 per hour**, in 30-minute increments, and invoiced separately.
### 4.4 Late Payments
Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.

## 5. Intellectual Property
### 5.1 Client Ownership
Upon receipt of full payment, the Client owns all final deliverables including the completed website design, graphics, and content created specifically for the project.
### 5.2 Studio Rights
Goodman Digital Studio retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.
### 5.3 Third-Party Assets
Any third-party assets (fonts, stock photos, plugins, themes) remain subject to their respective licenses. The Client is responsible for maintaining any required licenses after project completion.

## 6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project and not to disclose such information to third parties without prior written consent.

## 7. Warranties & Disclaimers
Goodman Digital Studio warrants that all work will be completed with reasonable skill and care. However, we do not guarantee specific results, search engine rankings, or business outcomes from the completed website.
We are not responsible for third-party plugin failures, hosting issues, or changes made to the website by the client or other parties after project completion.

## 8. Limitation of Liability
Goodman Digital Studio’s total liability for any claims arising from services rendered shall not exceed the total amount paid by the Client for the specific project in question.

## 9. Termination
Either party may terminate a project with written notice. In the event of termination:
– The client is responsible for payment of all work completed to the date of termination
– The non-refundable deposit is retained by Goodman Digital Studio
– All completed work remains the property of Goodman Digital Studio until full payment is received

## 10. Governing Law
These Terms and Conditions are governed by the laws of the State of Indiana, United States.
